The terms that govern use of Stackpine's devices, platform, and services.

These Terms of Service ("Terms") govern access to and use of the hardware devices (Pine X, Pine One), cloud management platform, and related services (collectively, the "Services") provided by Stackpine LLC, a Colorado limited liability company with its principal place of business at 1500 N Grant St, Ste N, Denver, Colorado 80203, US ("Stackpine," "we," "us").
By purchasing, installing, or using the Services, you ("Customer," "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
Stackpine provides biometric access control hardware (facial recognition and fingerprint devices) and an associated cloud platform for device management, access logs, and multi-factor authentication workflows.
You must be at least 18 years old and have authority to act on behalf of your organization to create a platform account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You (the Customer), not Stackpine, are the data controller for biometric data collected from your employees, contractors, or visitors via our devices, unless otherwise agreed in writing. You are solely responsible for:
Stackpine provides tools to support compliance (e.g., configurable retention periods, deletion APIs) but does not provide legal advice, and Customer's use of the Services does not guarantee legal compliance.
Subject to these Terms, Stackpine grants Customer a limited, non-exclusive, non-transferable license to use the Services for internal access-control purposes. Customer shall not:
Unless purchased outright, hardware devices may be provided under a subscription/lease model, in which case title remains with Stackpine and must be returned upon termination. Risk of loss transfers to Customer upon delivery.
Fees for hardware, platform subscriptions, and support are as set out in the applicable order form/quote. Fees are non-refundable except as required by law or expressly stated. Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
All intellectual property rights in the Services, including software, firmware, biometric matching algorithms, and documentation, remain the exclusive property of Stackpine or its licensors. No rights are granted except as expressly stated in these Terms.
Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, and not less than reasonable care.
Stackpine warrants that hardware will be free from material defects for 12 months from delivery. EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Stackpine does not warrant that biometric matching will be error-free or 100% accurate.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STACKPINE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM. STACKPINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA.
Customer agrees to indemnify and hold Stackpine harmless from claims arising out of Customer's failure to obtain proper consent for biometric data collection, or Customer's misuse of the Services in violation of applicable law.
These Terms remain in effect until terminated. Either party may terminate for material breach not cured within 30 days of written notice. Upon termination, Customer must cease use of the Services and, if applicable, return leased hardware.
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Any dispute shall be resolved in the state or federal courts located in Denver, Colorado, and the parties consent to personal jurisdiction therein.
Stackpine may update these Terms from time to time. Material changes will be communicated via the website or direct notice. Continued use after changes take effect constitutes acceptance.
